These Terms & Conditions govern design and related services provided by Pepper - Decor s.r.o. through Pepper Decor Design Studio. By approving an offer, placing an order or otherwise instructing us to begin a project, the client agrees to the terms applicable to the agreed project unless different terms have been expressly agreed in writing.

1. Service Provider

Pepper Decor Design Studio is an in-house design service of Pepper - Decor s.r.o.

2. Scope of Services
Depending on the agreed package or individual quotation, our services may include:

• glass packaging and decoration concepts;
• colour and decoration direction;
• realistic product visualisations;
• packaging redesign;
• product range and SKU development;
• editable final artwork;
• production-ready artwork;
• technical adaptation for selected decoration technologies;
• product presentation mockups;
• prototype and sample development support;
• technical and production consultation.

The exact scope, deliverables, number of concepts and revision rounds are defined in the selected package, quotation or written project confirmation.

3. Starting a Project
Before development begins, the client must provide the information and materials reasonably required for the project.
This may include bottle or packaging specifications, dimensions, existing artwork, logos, brand guidelines, references, production requirements and other relevant materials.
Project timelines begin only after the required brief and materials have been received and the applicable advance payment has been made.

4. Prices
Prices displayed on the website are starting prices and are provided for general guidance.
The final price may depend on the project scope, complexity, number of products or SKUs, required technologies, revisions and additional services.
The final scope and price are confirmed before work begins.
Unless expressly stated otherwise, third-party expenses, physical samples, shipping and serial production are not included in the design fee.

5. Payment
For Basic and Standard design packages, a 50% advance payment is required before development begins. The remaining 50% is payable upon completion of the agreed design work.
Payment terms for Premium and custom projects are agreed individually depending on the project scope, complexity and total value.
Invoices are issued in EUR unless otherwise agreed.
Production orders, samples, shipping and other additional services may be invoiced separately.

6. Special Pricing for Pepper Decor Production
Special design pricing may apply where the approved project continues into production with Pepper Decor.
Any applicable discount, credit or preferential pricing is subject to the commercial conditions confirmed for the individual project and does not apply automatically unless stated in the relevant quotation or agreement.

7. Concepts and Revisions
The number of initial concepts and revision rounds included in the service depends on the selected package or agreed quotation.
A revision round means a consolidated set of reasonable changes submitted by the client in response to the presented design stage.
Requests that materially change the approved brief, introduce a new creative direction or exceed the included revision rounds may be treated as additional work and quoted separately.

8. Client Feedback and Delays
The client is responsible for providing timely, clear and consolidated feedback.
If feedback, technical information, approvals or required materials are delayed, corresponding project deadlines may also be extended.
Any indicative delivery date depends on timely cooperation from the client.

9. Production Feasibility
Designs are developed with glass decoration and production requirements in mind based on the information available during the project.
However, technical conditions, equipment and processes vary between manufacturers.
Full technical implementation of the approved design can therefore only be guaranteed when production is carried out by Pepper Decor.
Where another manufacturer or decoration supplier is used, further technical adaptations may be required and Pepper - Decor s.r.o. cannot guarantee an identical production result.

10. Samples and Prototypes
Where agreed, Pepper Decor may support the development of physical samples or prototypes.
Unless expressly included in the quotation, sample production, materials, tooling, transport and shipping are charged separately.
Physical samples may differ slightly from digital visualisations because of glass properties, materials, manufacturing tolerances and decoration processes.
Final serial production specifications should be based on approved technical samples where applicable.

11. Client Materials
The client confirms that it has the necessary rights and permissions to provide and use all materials supplied to us, including:

• trademarks and logos;
• existing artwork;
• photographs and illustrations;
• fonts;
• packaging designs;
• reference material;
• other third-party intellectual property.

The client is responsible for claims resulting from materials supplied without the necessary rights or permissions.

12. Intellectual Property and Final Files
Unless otherwise agreed in writing, the client receives the agreed rights to use the final approved design after full payment of all amounts due for the project.
Where a separate NDA or written agreement provides for full transfer of intellectual property rights, ownership of the final approved design and agreed final files is transferred to the client in accordance with that agreement.
If no NDA or other confidentiality agreement applies, Pepper - Decor s.r.o. retains the right to identify itself as the creator of the design and to present the completed work in its portfolio, website, social media, presentations, case studies and other promotional materials, unless otherwise agreed in writing.
This portfolio and promotional right does not give Pepper - Decor s.r.o. the right to sell, license, reproduce or manufacture the client’s final approved design for another company or third party.
Unused concepts, preliminary directions, drafts and development materials remain the property of Pepper - Decor s.r.o. unless expressly agreed otherwise.
Third-party assets, fonts, photographs or other licensed materials remain subject to their respective licence terms.

13. Portfolio Use
Unless confidentiality has been agreed in writing, Pepper - Decor s.r.o. may display the completed project, final design and resulting product in its portfolio, website, presentations, social media and other marketing communications.
Any confidential information provided by the client will be handled in accordance with an applicable NDA or other written confidentiality agreement.

14. Confidentiality and NDA
Confidentiality requirements should be communicated before confidential project information is shared.
Where appropriate, a separate non-disclosure agreement may be entered into before or during the project. Specific NDA availability or conditions may depend on the selected service package or agreed commercial terms.

15. Cancellation
If the client cancels a project after work has started, fees already paid are generally non-refundable to the extent that they cover work already performed, reserved capacity or costs incurred.
Where completed work exceeds payments already received, Pepper - Decor s.r.o. may invoice the corresponding additional amount.
If Pepper - Decor s.r.o. is unable to perform the agreed service for reasons within its control, any appropriate refund or alternative arrangement will be discussed with the client.

16. Approval
The client is responsible for reviewing and approving the final design, text, spelling, regulatory information, dimensions and other content before production.
Unless specifically included in the agreed scope, Pepper - Decor s.r.o. does not provide legal or regulatory compliance review of product labels, claims, trademarks or mandatory packaging information.
Production should begin only after final artwork and technical specifications have been approved.

17. Limitation of Liability
Pepper - Decor s.r.o. is responsible for providing the agreed services with reasonable professional care.
To the extent permitted by applicable law, Pepper - Decor s.r.o. is not responsible for indirect or consequential losses, loss of profit, loss of business or losses resulting from:

• inaccurate or incomplete information supplied by the client;
• changes made by the client or third parties after delivery;
• production performed by an independent third-party manufacturer;
• third-party materials or intellectual property supplied by the client;
• circumstances outside our reasonable control.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

18. Force Majeure
Neither party is liable for delays or failure to perform caused by circumstances beyond its reasonable control, including major technical failures, natural disasters, governmental restrictions, transport disruption, war, civil disturbance or similar events.
The affected party should inform the other party as soon as reasonably possible.

19. Business Clients
Pepper Decor Design Studio is primarily intended for businesses, brands, manufacturers and professional clients.
Unless expressly agreed otherwise, services are provided in a business-to-business context.
If services are offered to consumers, mandatory consumer-protection rights under applicable law remain unaffected.

20. Governing Law
These Terms and the contractual relationship between the client and Pepper - Decor s.r.o. are governed by the laws of the Czech Republic.
The parties should first attempt to resolve any dispute through good-faith discussion.
Where a dispute cannot be resolved amicably, jurisdiction shall be determined in accordance with applicable Czech and European law.

21. Changes to These Terms
We may update these Terms & Conditions from time to time.
The version applicable to a specific project is normally the version in effect when the relevant offer or order was accepted, unless different terms are subsequently agreed in writing.
